Terms of Use

Welcome to Primus ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Primus website, user interface, and associated applications (collectively, the "Interface").

By accessing the Interface or connecting your wallet, you agree that you have read, understood, and accepted these Terms and our Privacy Policy. If you do not agree, please do not use the Interface.

1. Interface & Non-Custodial Nature​

  • Frontend Only: Primus provides a web-based interface to interact with decentralized blockchain networks, smart contracts, and third-party DeFi vaults. Primus does not operate, control, or own the underlying blockchain networks or third-party DeFi vaults.
  • Non-Custodial: Primus is strictly non-custodial. We never hold, store, or have access to your private keys, seed phrases, or cryptographic assets. You are solely responsible for securing your wallet, managing your private keys, and all transactions signed through it.
  • Irreversible Transactions: All transactions executed through the Interface (including staking, unstaking, decryption, and token transfers) are processed directly on the blockchain and are final and irreversible.

2. Confidentiality & Protocol Risks​

  • Advanced Cryptography: The Interface and certain DeFi vaults integrated with Primus utilize novel cryptographic techniques and confidential computing technologies (such as Fully Homomorphic Encryption). You acknowledge and accept the inherent risks of novel smart contracts, potential execution delays, and protocol settlement windows.
  • Innovative & Emerging Technologies: You acknowledge that the Interface and the underlying cryptographic mechanics involve innovative, cutting-edge, and emerging technologies. Such technologies may be subject to rapid evolution, system latency, unexpected behavior, or undiscovered technical vulnerabilities. You explicitly assume all risks associated with interacting with these innovative software components.
  • Third-Party Vaults: The Interface may display or route transactions to third-party DeFi vaults, strategies, or protocols (such as Unitas or other providers). Yields, strategies, and risk disclaimers of third-party vaults are governed by their respective owners. Primus makes no warranties regarding third-party protocol performance, security, or yield estimates.
  • Protocol Risks: Primus does not audit, endorse, or guarantee the safety or performance of decentralized blockchain networks and third-party vaults. You accept all risks associated with third-party smart contract bugs, exploits, liquidations, or impermanent losses.

3. Eligibility & Compliance​

By using the Interface, you represent and warrant that:

  1. You are at least 18 years of age or the legal age of majority in your jurisdiction.
  2. You possess the legal authority to enter into these Terms.
  3. You will not use the Interface for any unlawful activity, including money laundering, terrorist financing, or market manipulation.

The Interface and its contents are provided for informational and technological utility purposes only and should not be construed as financial, investment, legal, or tax advice. You are solely responsible for conducting your own independent research and assessing the risks of any vault or strategy before interacting with it.

5. Limitation of Liability​

THE INTERFACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMUS AND ITS CONTRIBUTORS DISCLAIM ALL WARRANTIES AND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL LOSSES, INCLUDING LOSS OF ASSETS, DOWNTIME, OR SMART CONTRACT EXPLOITS.

6. Governing Law & Dispute Resolution​

These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the jurisdiction in which the operating entity of Primus is incorporated, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Interface shall be referred to and finally resolved by binding arbitration under the rules of the applicable arbitration institution within such jurisdiction.
